Simply Locked Terms of Service
These Terms of Service (“Terms”) are a legally binding agreement between you and SLKD Technologies LLC, a Wyoming limited liability company, operating as Simply Locked (“Simply Locked,” “we,” “us,” or “our”), governing your access to and use of simplylocked.app, related websites, applications, accounts, timers, links, Crowd Key pages, and other services we provide (collectively, the “Service”).
Please read these Terms carefully before using the Service.
Agreement
You agree to these Terms when, after being presented with notice of these Terms, you take an action that indicates your agreement to them. Such actions include creating a timer, selecting Continue setup, choosing who controls a timer, saving or confirming a private link, confirming that you have set a lock, casting a Crowd Key vote, accepting control of a timer, creating an account, or another action we present with notice that it constitutes acceptance of these Terms.
One Participant’s acceptance does not, by itself, establish acceptance of these Terms by another Participant.
If you do not agree to these Terms, do not use the Service.
1. Adults Only
The Service is intended solely for adults.
You may use the Service only if:
- you are at least 18 years old;
- you have reached the age of majority in the jurisdiction where you live;
- you have the legal capacity to enter into a binding contract; and
- your use of the Service is lawful where you are located.
Anyone under 18 is strictly prohibited from creating an account, creating or participating in a timer, acting as a Keyholder or Locked Person, voting on a Crowd Key page, receiving adult-oriented messages through the Service, or otherwise using the Service.
You may not use the Service to communicate sexually with, facilitate sexual activity involving, or create content concerning any person under 18.
We may suspend or terminate access when we reasonably believe the Service is being used by or in connection with a minor.
2. Essential Safety Rules
This Section 2 is the definitive safety section of these Terms. Later sections that mention safety, timers, release combinations, release messages, Crowd Key votes, or emergency release do so by reference to this Section 2.
Simply Locked is not a medical service, emergency service, physical safety system, monitoring service, professional safety adviser, or physical-release system.
Use of the Service is voluntary. Real-world consent always takes priority over a timer, Crowd Key vote total, Keyholder setting, or other display by the Service.
Never use Simply Locked as the sole means of obtaining release from a physical device.
Before relying on a timer in connection with any physical device, Participants must establish an independent, reasonably accessible emergency-release method that does not depend on Simply Locked. That method must not depend on:
- internet access;
- a particular device;
- an account remaining accessible;
- an Access Link remaining confidential or functional;
- browser data, cookies, or local storage;
- Simply Locked server availability;
- a release combination, release message, stored instruction, or other information stored on Simply Locked;
- timer expiration information displayed by the Service; or
- Crowd Key voting, Keyholder actions, or other Participants remaining available or cooperative.
Expiration of a timer does not constitute a guarantee that a release combination, release message, stored instruction, or other information will be available at that moment. You must have an independent backup of any information that could be required for emergency release before any physical locking occurs.
Nothing in these Terms, a timer, a Keyholder instruction, a Crowd Key result, a control setting, or a message requires any person to remain in a physical device when release is required for safety or when real-world consent has been withdrawn.
If circumstances require immediate physical release or emergency assistance, the Service should not be treated as an obstacle to obtaining that release or assistance.
You are solely responsible for determining whether any physical activity or physical device associated with your use of the Service is appropriate and safe for you, including the selection, condition, maintenance, use, and removal of that equipment.
3. Definitions
In these Terms:
- “Participant” means any person who creates, views, claims, controls, votes on, or otherwise interacts with a timer, including Anonymous Users and account holders.
- “Anonymous User” means a person who uses the Service without creating or signing into an account.
- “Locked Person” means the Participant associated with view-only access to a timer, or who is designated as the locked person when a timer is created.
- “Keyholder” means the Participant who holds digital control permissions for a timer, including a person who accepts control through a Claim Link or who creates a timer under “Me.”
- “Control Mode” means the digital arrangement selected after Continue setup, such as The crowd, A keyholder, Simply Locked, or Me, subject to availability for the chosen duration.
- “Crowd Key” means the feature under which a Public Crowd Link allows strangers or other visitors to vote to lengthen or shorten a timer within Service limits.
- “Access Link” means a URL that grants some form of access to a timer. Access Links include Viewing Links, Control Links, Claim Links, and Public Crowd Links.
- “Viewing Link” means an Access Link that allows a person to view a timer according to the permissions associated with that link, typically without control.
- “Control Link” means an Access Link that allows a person to exercise Keyholder or other control permissions associated with a timer.
- “Claim Link” means a typically one-time Access Link that allows a recipient to accept digital control of a timer.
- “Public Crowd Link” means an Access Link intended to be shared so that visitors can view limited timer information and cast Crowd Key votes. It is still a bearer URL: anyone who obtains it may vote according to the permissions of that link.
- “Release Combination” means a generated code or other unlock secret the Service stores for certain Control Modes and may reveal when a timer ends.
- “User Content” means messages, combinations, release messages, pleas, display names, stored instructions, names, text, votes, or other information a user submits to the Service.
4. What Simply Locked Does
Simply Locked provides software tools for creating and sharing virtual timers and related information between consenting adults.
Features may include timer creation, delayed timer start, release times, Access Links, Control Mode selection, Keyholder functionality, control-transfer functionality, Crowd Key voting, messages displayed during a timer, release messages, Release Combinations, private-link checkpoints, optional accounts, optional paid or premium experiences, and other related features.
Features may be enabled, disabled, limited, or experimental. Optional accounts, email link backup, and Simply Locked+ (or similar premium offerings) may be unavailable even if described elsewhere on the Service.
Unless we expressly state otherwise, Simply Locked is a software service only.
Simply Locked does not manufacture, sell, install, inspect, maintain, control, or guarantee any physical chastity device, restraint, lock, key, combination mechanism, or other physical equipment that users may choose to associate with the Service.
A virtual timer does not physically control a device unless Simply Locked expressly releases a separate feature stating otherwise and provides specific terms governing that feature.
5. Control Modes and Timer Configuration
After you start a lock, the Service may ask who controls the timer. Available Control Modes may include:
- The crowd. Visitors with the Public Crowd Link may vote to shift release earlier or later within Service limits.
- A keyholder. You may share a Claim Link so another adult can accept digital control, while you keep a Viewing Link.
- Simply Locked. The timer runs without Keyholder control or Crowd Key voting until time is up, subject to Service availability.
- Me. You keep Keyholder control for another person’s timer.
Certain durations (including effectively unlimited or “∞” timers) may restrict which Control Modes are offered. We may refuse unsupported combinations.
For some Control Modes, the Service may require you to confirm that you have saved a private Access Link and that you have set any associated physical lock before the countdown starts. Until the Service records that the lock has started, the timer may not be running, even if a draft release time was shown earlier.
You are solely responsible for choosing a Control Mode, saving private Access Links, setting any physical lock, and understanding that digital permissions are not physical authority over another person.
6. Crowd Key
If you select The crowd, you authorize the Service to generate a Public Crowd Link and to allow visitors who obtain that link to vote in ways that may lengthen or shorten the timer within Service-defined bounds.
Crowd Key is entertainment software among consenting adults. It is not a court, referee, safety system, identity-verification system, or guarantee of fair or accurate voting.
By casting a Crowd Key vote, you agree to these Terms and represent that you are an adult acting voluntarily.
Simply Locked does not verify the identity, age beyond the representations in these Terms, location, intentions, or relationship of Crowd Key voters. Anyone who obtains the Public Crowd Link may potentially vote, including persons who received it by forwarding, screenshot, social media, search, shared device, or other disclosure.
We may use cookies, browser storage, hashed network identifiers, rate limits, and similar technical measures to reduce duplicate voting. Those measures are imperfect. We do not warrant that votes are unique, authentic, or free from abuse.
Optional pleas, display names, and similar text you submit for Crowd Key are User Content. They may be shown to visitors of the Public Crowd Link. Do not include private Access Links, Release Combinations, home addresses, or other information you are not willing to expose publicly.
Public Crowd Key pages are designed not to display generated Release Combinations. You remain responsible for keeping private Viewing Links, Control Links, Claim Links, and Release Combinations confidential.
You assume the risk that Crowd Key votes, Service limits, outages, or other Participants’ conduct will change a displayed release time. See Section 2.
Simply Locked is not responsible for emotional distress, relationship disputes, reputational harm, or physical consequences arising from Crowd Key participation, except to the extent liability cannot legally be excluded.
7. Consensual Adult Use Only
Simply Locked is designed exclusively for voluntary use between consenting adults.
By creating, participating in, viewing, controlling, voting on, or accepting control of a timer, you represent and warrant that every Participant involved is an adult acting voluntarily and with informed consent.
Use of the Service does not create authority over another person.
A Keyholder role, Control Link, Crowd Key vote, timer, agreement between users, or other feature of the Service does not authorize anyone to restrain, threaten, coerce, confine, injure, blackmail, extort, intimidate, abuse, or prevent another person from withdrawing consent.
If another Participant withdraws consent to an activity, communicates a safety concern, or requires release from a physical device, you may not rely on a Simply Locked timer, Crowd Key outcome, control setting, message, agreement, Release Combination, or other feature as justification for refusing to cooperate with an appropriate release. See Section 2.
The Service may not be used to facilitate domestic abuse, trafficking, unlawful imprisonment, sexual assault, coercive control, exploitation, or any other nonconsensual or unlawful activity.
8. Accepting Control
Certain features may allow one user to give another user Keyholder control over specified functions of a timer.
By accepting control, you agree to these Terms and assume the digital Keyholder permissions presented by the Service. That action does not transfer ownership of another person, create legal authority over another person, constitute the Locked Person’s permanent consent to real-world activity, or eliminate another person’s ability to withdraw consent. See Section 2.
Depending on the feature being used, acceptance by a Keyholder may cause a previous Control Link to stop working or may prevent the Locked Person from changing certain timer settings.
Claiming control does not, by itself, erase a Keyholder release message or other stored unlock text previously saved for that timer, except where the Service expressly allows editing of that text.
You are responsible for reviewing all warnings presented before creating, transferring, claiming, or accepting control.
A Keyholder agrees not to use control features for coercion, extortion, threats, harassment, punishment for withdrawing consent, or interference with physical safety.
9. Access Links
The Service may generate Access Links that allow another person to view, claim, control, or vote on a timer.
Access Links are bearer credentials. Anyone who obtains a Control Link, Claim Link, Viewing Link, Public Crowd Link, or other Access Link may potentially exercise the permissions associated with it, including a person who received it by forwarding, screenshot, browser history, shared device, email, messaging app, or other disclosure.
A recipient may forward an Access Link without Simply Locked’s knowledge or approval. Unless expressly stated otherwise for a particular feature, Simply Locked does not verify the identity of a person who opens an Access Link, and does not confirm that a later recipient is the person the sender intended.
Acceptance by one recipient does not, by itself, constitute acceptance by a later recipient of a forwarded Access Link.
You are responsible for deciding who receives your Access Links and for keeping Control Links, Claim Links, and private Viewing Links confidential. If you choose The crowd, you intentionally authorize broader distribution of the Public Crowd Link.
Do not publicly post or distribute a private Control Link, Claim Link, or private Viewing Link unless you intend the recipient or recipients to obtain the access associated with that link.
We are not responsible for access resulting from your voluntary disclosure, forwarding, screenshotting, publication, or insecure storage of an Access Link, except to the extent responsibility cannot legally be excluded.
If you believe a private Access Link has been compromised, contact us promptly at [email protected].
10. Release Combinations, Messages, and Unlock Text
Depending on Control Mode, the Service may:
- generate and store a Release Combination for you to use with a physical lock, and reveal that combination when the timer ends;
- allow a Keyholder to store an “On release” or similar unlock message that may be shown when the timer ends; or
- allow other User Content such as while-locked messages, Crowd Key pleas, or display names.
Messages and unlock text shown on timers are created by users or generated as software output for user-directed features. Simply Locked does not author or endorse Keyholder messages or Crowd Key pleas. The Service transmits User Content according to the timer’s Access Links and settings.
A generated Release Combination is a software convenience for consenting adults. It is not a certified locksmith product, not a warranty of uniqueness forever, and not an emergency-release system. See Section 2.
While a timer is locked, the Service may hide unlock text from ordinary page display while still including data needed for client-side reveal at expiration. That technical design does not create a duty to keep unlock text available offline, during outages, or after link loss.
Messages and other User Content may contain adult, intimate, sexual, or otherwise sensitive material. Users are responsible for content they send to another Participant or publish via a Public Crowd Link.
Sending or displaying User Content does not establish that the recipient consented to any underlying real-world conduct.
You retain ownership of your User Content.
You grant Simply Locked a limited, non-exclusive license to host, store, reproduce, process, transmit, and display your User Content only as reasonably necessary to operate, secure, maintain, support, and provide the Service, enforce these Terms, and comply with applicable law.
You are responsible for your User Content and represent that you have the right to provide it.
As stated in Section 2, do not make Simply Locked the only repository for a Release Combination, release message, stored instruction, or other information that may be necessary for emergency physical release.
You may not submit User Content that:
- sexually depicts, describes, exploits, or solicits a minor;
- contains nonconsensual intimate material;
- facilitates sexual abuse or exploitation;
- is illegal, threatening, coercive, nonconsensual, or exploitative;
- threatens violence or unlawful conduct;
- facilitates extortion, blackmail, stalking, trafficking, or coercion;
- unlawfully discloses another person’s confidential or personal information;
- infringes intellectual property or other legal rights;
- contains malicious software or code; or
- otherwise violates applicable law.
We may remove or restrict User Content when reasonably necessary to enforce these Terms, protect users, maintain the Service, or comply with legal obligations.
11. Anonymous Users and Electronic Acceptance Records
Certain features may be available to Anonymous Users without an account. Anonymous Users can still enter into these Terms.
Later creation of an account does not invalidate earlier anonymous acceptance of these Terms.
Simply Locked may use a browser cookie and ordinary server logs in connection with an acceptance action. How we process that information is described in the Privacy Policy.
12. Accounts, Premium Features, and Account Security
Accounts, when available, are optional. Anonymous timers remain first-class. An account does not by itself confer premium features.
If you create an account, you are responsible for maintaining the security of your account credentials.
You may not impersonate another person, access another person’s account without authorization, sell access to an account, or attempt to circumvent security controls.
You are responsible for activity occurring through your account to the extent permitted by applicable law.
If we offer Simply Locked+, paid upgrades, or similar premium experiences, those features are subject to these Terms and any additional terms presented at purchase. Fees are generally non-refundable except where required by law or where we expressly state otherwise. We may change pricing, benefits, or availability prospectively.
Notify us at [email protected] if you believe your account has been accessed without authorization.
We may require additional verification before restoring access or performing security-sensitive actions.
13. Privacy
Our collection and processing of personal information is described in our Privacy Policy, which is incorporated into these Terms by reference where permitted by law.
Because use of Simply Locked may involve sensitive or intimate information, you should review the Privacy Policy before using the Service.
You are responsible for obtaining any legally required consent before submitting personal information concerning another person.
14. Prohibited Conduct
You may not use or attempt to use Simply Locked:
- for any unlawful purpose;
- with or involving anyone under 18;
- without the voluntary consent of every Participant;
- to facilitate sexual assault, abuse, unlawful restraint, trafficking, extortion, blackmail, stalking, threats, harassment, or coercive control;
- to interfere with someone’s ability to obtain emergency assistance or physical release;
- to access another person’s account, timer, content, or private Access Link without authorization;
- to manipulate Crowd Key voting through bots, credential stuffing, IP spoofing at scale, coordinated abuse, or other deceptive means;
- to defeat, probe, interfere with, or circumvent Service security;
- to introduce malicious software or excessive automated traffic;
- to scrape or harvest information from the Service without authorization;
- to reverse engineer the Service except where applicable law expressly permits it;
- to infringe intellectual property, privacy, publicity, contractual, or other rights;
- to misrepresent your identity or authority;
- to use the Service commercially in a manner we have not authorized; or
- in any manner that exposes Simply Locked, another user, or a third party to unreasonable legal, security, or safety risk.
We may investigate suspected violations and may suspend, restrict, or terminate access when reasonably appropriate.
15. Third-Party Services
The Service may rely on third-party hosting providers, email providers, analytics providers, payment processors, authentication providers, or other service providers.
Your use of certain third-party services may also be governed by their terms and privacy policies.
Simply Locked is not responsible for third-party products or services outside our control, except where applicable law provides otherwise.
16. Intellectual Property
The Service, including its software, design, branding, graphics, text created by us, logos, and other proprietary materials, is owned by Simply Locked or its licensors and is protected by applicable intellectual property laws.
Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Service for its intended purposes.
No ownership interest in the Service is transferred to you.
“Simply Locked,” its logos, and related branding may not be used without our permission except where applicable law permits such use.
17. Feedback
If you voluntarily provide suggestions, ideas, or feedback about the Service, you authorize us to use that feedback without restriction or compensation to you, provided we do not publicly identify you as its source without permission.
18. Service Changes and Availability
We may modify, improve, suspend, restrict, or discontinue features of the Service.
We do not guarantee that any particular feature will remain available indefinitely.
We may provide advance notice of material changes where reasonably practicable or required by law.
We may perform maintenance or make emergency changes without advance notice where necessary for security, reliability, legal compliance, or protection of users.
Timers, Crowd Key challenges, Access Links, and unlock text may become unavailable due to maintenance, outages, data loss, enforcement actions, or feature retirement. That possibility is one reason Section 2 requires an independent emergency-release method.
19. Suspension and Termination
You may stop using the Service at any time.
You may request deletion or closure of your account as described in the Service or Privacy Policy.
We may suspend or terminate your account or access if we reasonably believe that:
- you violated these Terms;
- your use creates a safety, security, fraud, or legal risk;
- continued access could harm another user or third party;
- we are required to do so by law; or
- operation of the relevant feature or Service is no longer commercially reasonable.
Suspension or termination may immediately disable timers, Access Links, Crowd Key pages, or unlock text associated with your use. We have no duty to preserve that access for physical-device users. See Section 2.
Termination does not eliminate rights or obligations that by their nature should survive termination, including intellectual property provisions, disclaimers, limitations of liability, indemnification obligations, and dispute provisions.
20. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.”
SIMPLY LOCKED DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, TO THE EXTENT SUCH WARRANTIES MAY LEGALLY BE DISCLAIMED.
WE DO NOT WARRANT THAT:
- THE SERVICE WILL ALWAYS BE AVAILABLE, SECURE, OR ERROR-FREE;
- A TIMER WILL ALWAYS DISPLAY, START, OR EXPIRE AT A PRECISE MOMENT;
- TIMER EXPIRATION WILL MAKE A RELEASE COMBINATION, RELEASE MESSAGE, STORED INSTRUCTION, OR OTHER INFORMATION AVAILABLE;
- CROWD KEY VOTING WILL BE ACCURATE, UNIQUE, FAIR, OR FREE FROM ABUSE;
- A PARTICULAR USER WILL REMAIN AVAILABLE OR RESPOND;
- A MESSAGE, RELEASE COMBINATION, STORED INSTRUCTION, ACCESS LINK, OR OTHER INFORMATION WILL ALWAYS REMAIN ACCESSIBLE;
- THE SERVICE WILL PREVENT UNAUTHORIZED SHARING, FORWARDING, OR DISCLOSURE OF ACCESS LINKS OR INFORMATION;
- USE OF ANY PHYSICAL DEVICE ASSOCIATED WITH THE SERVICE IS SAFE; OR
- THE SERVICE IS APPROPRIATE FOR ANY PARTICULAR PHYSICAL OR MEDICAL CONDITION.
The independent emergency-release obligations in Section 2 apply even if timer information, messages, Release Combinations, stored instructions, Crowd Key results, or Access Links are delayed, inaccurate, or unavailable.
SOME JURISDICTIONS DO NOT ALLOW CERTAIN WARRANTY DISCLAIMERS. IN THOSE JURISDICTIONS, THESE DISCLAIMERS APPLY ONLY TO THE MAXIMUM EXTENT PERMITTED BY LAW.
21. Assumption of Risk
You acknowledge that adult activities involving physical locks, chastity devices, restraints, key control, or similar equipment may involve risks that exist independently of the Simply Locked software.
You also acknowledge risks arising from use of the Service itself, including: loss of an Access Link; disclosure or forwarding of bearer Access Links; delayed timer start; delayed or unavailable timer information; unavailable messages, Release Combinations, or stored instructions; Crowd Key votes changing a release time; another Participant failing to respond; another Participant changing permitted timer settings; and reliance on third-party devices, browsers, networks, or service providers.
You voluntarily assume those risks arising from your own selection and use of physical equipment, from consensual activities undertaken with other users, and from your use of the Service, except to the extent applicable law does not permit such risks to be allocated to you.
Simply Locked does not assume responsibility for supervising or controlling interactions between users.
Nothing in this section excludes liability that cannot legally be excluded. See also Section 2.
22. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SIMPLY LOCKED AND ITS OWNERS, AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF:
(A) THE AMOUNT YOU PAID DIRECTLY TO SIMPLY LOCKED FOR THE SERVICE DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM; OR
(B) US $100.
These limitations apply to claims arising from or relating to, among other things: physical equipment selected by users; inability to access a Release Combination, release message, stored instruction, or other information; timer inaccuracies or outages; delayed timer start; Crowd Key votes or vote abuse; User Content; actions or omissions of Keyholders, Locked Persons, voters, or other Participants; and unauthorized access through disclosed or forwarded Access Links.
THESE LIMITATIONS APPLY REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF WE HAVE BEEN ADVISED THAT DAMAGES WERE POSSIBLE.
THE LIMITATIONS DO NOT APPLY TO LIABILITY THAT APPLICABLE LAW PROHIBITS US FROM LIMITING OR EXCLUDING, INCLUDING LIABILITY ARISING FROM FRAUD, WILLFUL MISCONDUCT, OR OTHER LIABILITY THAT CANNOT LEGALLY BE WAIVED.
23. No Agency
A Keyholder, Locked Person, Crowd Key voter, timer creator, or other Participant is not an employee, agent, representative, partner, or legal representative of Simply Locked merely because they use the Service.
Using the Service, indicating agreement to these Terms, forwarding an Access Link, casting a vote, or sending User Content does not, by itself, make a Participant an agent of Simply Locked or authorize that Participant to bind another Participant.
24. Indemnification
To the maximum extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Simply Locked and its owners, affiliates, officers, directors, employees, contractors, and agents from third-party claims, damages, liabilities, losses, judgments, costs, and reasonable legal fees arising from:
- your unlawful or prohibited use of the Service;
- your User Content, including Crowd Key pleas, display names, and unlock text;
- your creation or sharing of Access Links, including Public Crowd Links;
- your Crowd Key votes or other interactions with another Participant’s timer;
- your association of the Service with any physical device or activity;
- your violation of another person’s rights;
- your violation of these Terms; or
- your intentional misconduct involving another Service user.
This section does not require you to indemnify Simply Locked for conduct for which indemnification may not lawfully be imposed on you.
25. Disputes and Informal Resolution
Before filing a formal claim concerning the Service, you and Simply Locked agree, except where prohibited by law, to attempt in good faith to resolve the dispute informally.

If the dispute has not been resolved within 30 days after receipt of a complete notice, either party may pursue available formal remedies in court as described in Section 27, unless the parties later agree in writing to arbitrate that dispute as described in Section 26.
Nothing in this section prevents either party from seeking urgent injunctive relief when legally appropriate or from contacting a government regulator.
26. Optional Arbitration
After a dispute arises, you and Simply Locked may mutually agree in writing to resolve that particular dispute through arbitration. Nothing in these Terms requires either party to arbitrate.
Neither party is bound to any arbitration administrator, fee schedule, or set of arbitration rules unless a later written agreement says so.
27. Governing Law, Venue, and Class Actions
Except where mandatory consumer law provides otherwise, these Terms and disputes relating to them are governed by the laws of the State of Wyoming, without regard to its conflict-of-law principles.
For disputes that proceed in court, you and Simply Locked consent to the jurisdiction of the state and federal courts located in Sheridan County, Wyoming, except where applicable law gives you the right to bring a claim elsewhere. Either party may bring an eligible claim in small claims court in the county of your residence or in Sheridan County, Wyoming.
To the maximum extent permitted by law, you may bring claims against Simply Locked only in your individual capacity, and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding. If a court determines this waiver is unenforceable as to a particular claim, that claim may proceed individually only to the extent required by law, and the remainder of these Terms remains in effect.
Nothing in these Terms deprives a consumer of non-waivable protections provided by the law of the consumer’s jurisdiction.
28. Copyright Complaints
If you believe content available through the Service infringes your copyright, contact us at [email protected] with sufficient information for us to identify the copyrighted work, the allegedly infringing material, your contact information, and the basis for your claim.
We may publish additional copyright notice procedures if we elect to use statutory safe-harbor processes.
29. Electronic Communications
You agree that we may communicate with you electronically regarding the Service where permitted by law.
Electronic communications may include transactional emails, security notices, legal notices, and information reasonably necessary to operate your account.
Marketing communications, where used, will be handled in accordance with applicable law and the choices made available to you.
30. Changes to These Terms
We may update these Terms from time to time.
If we make a material change, we will provide notice in a manner reasonably designed to bring the change to your attention. We may require renewed acceptance of revised Terms where appropriate or required by law.
The effective date at the top of the Terms indicates when the current version became effective.
Continued use of the Service after the effective date of updated Terms constitutes acceptance of the updated Terms to the maximum extent permitted by law.
31. Assignment
You may not transfer your rights or obligations under these Terms without our prior written consent.
We may assign these Terms as part of a merger, acquisition, corporate reorganization, financing, sale of assets, or similar transaction, subject to applicable law.
32. Severability
If any provision of these Terms is held invalid or unenforceable, that provision will be enforced to the maximum extent legally permissible and the remaining provisions will remain in effect.
33. No Waiver
Failure by Simply Locked to enforce a provision of these Terms is not a waiver of our right to enforce that provision later.
34. Entire Agreement
These Terms, together with the Privacy Policy and any additional terms we expressly present for a particular feature, constitute the agreement between you and Simply Locked concerning the Service and supersede prior agreements concerning the same subject matter.
